Terms of Service
These terms and conditions as set forth and outlined are intended to clarify the partnership agreement between the traffic partner and CodeAds.
Agreement
CodeAds agrees to provide the HTML/JavaScript code to the partner so that he/she may display CodeAds banner ads on their web site. CodeAds reserves the right to approve or disapprove the inclusion of the listings on the partners website at our sole discretion.
Warranty
The CodeAds code and content provided to partner is on an "as is" basis. No warranty of any kind is given either expressed or implied.
Non-disclosure and Confidentiality
All correspondence between CodeAds and partner whether written, verbal or by electronic means shall be considered confidential and shall not be disclosed to third parties without the written consent of both parties.
Partner Responsibilities
- Your site cannot Reside or be hosted by free page services (for example, Freetown, Geocities, Tripod).
- Your site cannot allow ads on any sites or pages that you are not directly responsible for the content (e.g. other networks).
- Partner agrees to keep all contact and payee information up to date and accurate. Failure to do so will result in a delay of receiving payments.
- Traffic Partners website must be written in English and targetted to English speaking countries.
Prohibited Activity
- The use of any script, bot, spyder, or other computer program to generate traffic is strictly prohibited.
- The banner code provided cannot be modified in any way.
- We do not allow our code to be placed on sites with advertising networks; alcohol, tobacco or illegal substances; expletives or inappropriate language; content promoting illegal activity, such as copyright infringement, racism, hate, spam, mail fraud, pyramid schemes, or investment opportunities or advice not permitted under applicable law; content that is libelous, defamatory, contrary to public policy, or otherwise unlawful, or any other content deemed inappropriate by CodeAds. Revenue and Compensation
- Revenue generated by fraudulent means or violate these terms will not be compensated.
- Payment of revenue earned by partner may be requested once partners balance has reached a minimum of $10.00 USD. Payment will be forwarded to partner within 48 hours if PayPal is requested or within 30 days if requested by check or wire.
- Once payment has been made to partner for the requested time period, it shall be determined to be compensation in full.
Impressions originating from countries other than the US, Canada will generally not be compensated for. In a 24 hour period we don't credit the same visitor twice.
Reporting
- CodeAds will provide online real-time reports to the partner by the use of a user name and password.
- Any discrepancy in reporting shall be brought to the attention of CodeAds within 10 days.
Understanding and Acceptance
- Partner agrees that he/she fully understands these terms and conditions, and accepts them as written. Partner also agrees that any violation of these terms may result in their termination in the partner program, and at the sole discretion of CodeAds possible loss of earned revenue.
- Acceptance of this agreement by the partner, shall be legally binding by both parties.
Conclusion
- Either party may terminate this agreement by giving 10 days written notice to the other party. Upon termination, so long as the partner has fully complied with these terms, full compensation of earned revenue will be made as outlined above.
- These terms and conditions may be modified by CodeAds at any time. Written or electronic notice will be given to current partners of any change to these terms.
If partner is found to have violated these terms by use of fraudulent means to generate impressions and/or revenue, immediate termination will result and all revenue earned will be relinquished.
If partner does not fully agree to these terms as outlined above, they are forewarned not to participate in any partner program that CodeAds offers.
